Fluide Studios — Terms of Service (ToS)

Welcome to Fluide Studios (“we,” “us,” “our”). These Terms of Service (ToS) govern access to and use of our website, as well as our creative, technological, and educational services. By accessing our website or using our services, you agree to be fully bound by these terms. If you do not accept all or part of these ToS, you must cease all use of our website and services.

1. Purpose of the ToS

These ToS define: The rules for accessing the website; User obligations; Fluide Studios' responsibilities; Service conditions for clients; Legal terms related to the use of content, products, and services. They apply to all users: visitors, clients, partners, or trainees in Learning programs.

2. Definitions

“Services”: Design, development, branding, content, training, consulting, and all other services provided by Fluide Studios. “Client”: Any company, organization, or individual that has subscribed to a paid service. “User”: Any person accessing the website. “Content”: Text, images, videos, interfaces, source code, mockups, designs, and any element produced by Fluide Studios.

3. Website Access and Availability

The website is accessible free of charge to any user with internet access. Fluide Studios makes every effort to ensure continuous access, but: Does not guarantee the absence of interruptions; May suspend access for maintenance, security, or updates; Cannot be held responsible for technical failures beyond its control.

4. Authorized Use

You agree to use the website and services: In compliance with Cameroonian and international law; Without compromising the integrity of the website or its infrastructure; Without impersonating any third party; Without attempting to access unauthorized sections. Any fraudulent use may result in access restriction or termination.

5. Services Offered

Fluide Studios offers, among other things: Product Studio Services: UX/UI, full-stack development, technical architecture, API, AI/ML, dashboards. Creative Studio Services: Branding, visual identity, multimedia production, copywriting. Learning Studio Services: Professional training, workshops (digital skills, design, no-code), internal Fluide Group programs. Managed Services Studio: Payroll outsourcing, HR administration, compliance management. Consulting & Strategy: Audits, art direction, digital consulting. Each service is subject to: A quote; A contract or purchase order; Defined deliverables; Agreed deadlines.

6. Orders & Client Commitments

Any order is confirmed upon: Validation of the quote; Signing of the contract or written agreement; Payment of a deposit (typically 50%). The client commits to: Providing necessary information; Respecting validation deadlines; Communicating clearly and structurally; Not requesting out-of-scope services without an amendment.

7. Intellectual Property

7.1. Ownership of Content Produced by Fluide Studios

Unless otherwise agreed by contract: Fluide Studios retains ownership of: Its methods; Its internal processes; Its reusable components; Its tools; Its frameworks and templates; Its rejected mockups. The client obtains, upon full payment: A license to use the deliverables; Or a transfer of ownership (depending on the contract); Limited to the scope defined in the order.

7.2. Ownership of Elements Provided by the Client

The client guarantees that: They own the rights to the files provided; These do not infringe on any copyright or trademark.

8. Confidentiality

We commit to: Protecting all confidential information transmitted by the client; Signing an NDA if necessary; Never disclosing strategic, financial, or technical data; Using this information solely for the project.

9. Personal Data

Data collection and processing are governed by our Privacy Policy, accessible on the website. Users have the right to access, rectify, delete, and object to their data.

10. Payment & Billing

Payments are made in XAF (FCFA) or USD, depending on the contract. Deadlines must be respected, under penalty of project suspension. No final deliverable is transmitted before full payment. Late payments may generate penalties.

11. Timelines, Revisions, and Deliverables

11.1. Timelines

Communicated timelines are estimates, subject to: Client availability; Project complexity; Receipt of necessary elements.

11.2. Revisions

Each project includes a defined number of revisions. Additional requests are billed separately.

12. Limitation of Liability

Fluide Studios cannot be held liable for: Indirect losses (revenue, opportunities, reputation); Misuse of deliverables by the client; Service interruptions caused by third parties; Delays caused by the client's lack of information.

13. Suspension & Termination

We may suspend or terminate a project in case of: Non-payment; Non-cooperation by the client; Violation of the ToS; Illegal or fraudulent activity. In case of cancellation by the client, payments made remain due for services rendered.

14. External Links

Our website may contain links to third-party websites. We have no control over their content and assume no responsibility for them.

15. Modification of ToS

Fluide Studios may update these ToS at any time. Users will be informed of major changes via our website.

16. Governing Law

These ToS are governed by: Cameroonian legislation; International standards applicable to intellectual property and data protection. Any dispute falls under the jurisdiction of the courts of Cameroon.
